Setting up a company in Estonia

Setting up and registering a company in Estonia is quick and easy, especially if you have e- citizenship or an Estonian ID card. The main tax benefit is that Estonian corporate taxation does not tax retained earnings. Companies are exempt from corporate income tax if they invest the profits in developing their own operations. The most popular form of company in Estonia is Osaühing, i.e. OÜ.

The company is set up in a notary’s office. It is good desirable for the founders and board members to be present in person, but proxy representation is also possible. It is also possible to open a bank account with certain banks by proxy. According to Estonian law, the company may also use another bank account in the EU. The company to be set up must have a postal address in Estonia. It takes around 3-5 business days to register a company, depending on the method of registration.

Requirements for setting an Estonian limited liability company (OÜ)

  • The company must have at least 1 owner

  • The company must have at least 1 director

  • (The company must have an Estonian contact person if the owners and the board are foreign. The contact person can be, for example, a notary or a lawyer or licensed companies.)

  • The director and the owner can be the same person and there are no restrictions on the person’s country of residence

  • The company must have a registration address in Estonia

  • Minimum share capital of the company of € 2,500 This capital must be paid as a monetary or non- monetary contribution before the company is registered in the Trade Register, after the opening of the company’s bank account. A company can also be set up without initial capital. The minimum capital must then be paid later, and this must be decided in the Articles of Association

E-Citizenship

Estonia offers e-citizenship to citizens of other countries. E-citizenship allows foreigners to use Estonian e-services, the holder of a digital ID card can digitally sign documents.
